1. Acceptance of Terms

By accessing or using the services provided by Trixly AI Solutions ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use our services.

These Terms apply to all users of our services, including but not limited to clients, visitors, and any other individuals or entities that access or use our AI solutions, consulting services, or related offerings.

2. Services Description

Trixly AI Solutions provides a comprehensive range of artificial intelligence and machine learning services, including but not limited to:

• Edge AI & Autonomous Systems: Development and deployment of intelligent systems at the edge, including edge AI development, real-time decision automation, robotics and IoT automation, and autonomous workflow systems.
• AI & Machine Learning Solutions: Private LLM deployment, custom AI model development, model optimization and pruning, and automated marketing & sales AI systems.
• Computer Vision & Perception: Object detection and image recognition, automated quality inspection, AI perception modules, and surveillance & anomaly detection systems.
• Cloud & Backend Infrastructure: API development and cloud integration, real-time data pipelines, scalable cloud deployment, and backend workflow automation.
• Data Privacy & Compliance: HIPAA and GDPR compliant AI systems, secure data storage and encryption, trustworthy agentic AI design, and secure LLM deployment.
• AI Consulting & Strategy: Agentic AI automation strategy, digital transformation advisory, CAC and OPEX reduction strategy, and ROI-focused AI system design.

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. We do not guarantee that our services will be available at all times or that they will be error-free.

3. Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services in any way that violates any applicable federal, state, local, or international law or regulation
• Transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of our services, or which may harm the Company or users of our services
• Use our AI systems or services to create, generate, or distribute harmful, illegal, or unethical content
• Reverse engineer, decompile, or disassemble any software or AI models provided by us
• Attempt to gain unauthorized access to our systems, networks, or data

4. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, images, AI models, algorithms, software, and other materials (collectively, "Content"), are owned by Trixly AI Solutions, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Unless otherwise specified in a separate written agreement, all intellectual property rights in custom AI models, algorithms, and solutions developed specifically for you will be owned by Trixly AI Solutions. You will receive a license to use such custom solutions as specified in your service agreement.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content without our prior written consent.

5. Data Privacy and Security

We are committed to protecting your data and privacy. Our services are designed with data privacy and security as core principles, including compliance with HIPAA, GDPR, and other applicable data protection regulations.

By using our services, you agree to our data collection, use, and disclosure practices as described in our Privacy Policy. You are responsible for:

• Ensuring that any data you provide to us is accurate, complete, and legally obtained
• Obtaining all necessary consents and authorizations before providing personal data or sensitive information
• Complying with all applicable data protection laws when using our services
• Maintaining the confidentiality of any access credentials or API keys provided to you

We implement industry-standard security measures to protect your data, including encryption at rest and in transit, secure data storage, and access controls. However, no method of transmission over the Internet or electronic storage is 100% secure.

6. Payment Terms

Payment terms for our services will be specified in your service agreement or statement of work. Unless otherwise agreed:

• All fees are quoted in the currency specified in your agreement
• Payment is due according to the payment schedule outlined in your service agreement
• Late payments may incur interest charges and may result in suspension or termination of services
• All fees are non-refundable unless otherwise specified in your agreement or required by law
• You are responsible for any taxes, duties, or other charges imposed by applicable laws

We reserve the right to change our pricing at any time. Price changes will not affect ongoing service agreements unless otherwise specified.

7. Service Level Agreements

Specific service level agreements (SLAs) will be detailed in your service agreement. We strive to provide reliable and high-quality services, but we do not guarantee:

• Uninterrupted or error-free operation of our services
• That our services will meet all of your specific requirements
• That defects or errors will be corrected within any specific timeframe
• That our services are compatible with all third-party systems or software

We will make reasonable efforts to maintain service availability and performance, but we are not liable for any downtime, service interruptions, or performance issues beyond our reasonable control.

8. Warranties and Disclaimers

No Warranties: Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that:

• Our services will be uninterrupted, secure, or error-free
• Any defects or errors will be corrected
• Our services are free of viruses or other harmful components
• The results obtained from using our services will be accurate or reliable

AI and machine learning systems may produce unexpected or inaccurate results. You acknowledge that AI systems are probabilistic in nature and may not always produce correct or desired outputs. You are responsible for validating and verifying the outputs of any AI systems we provide.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Trixly AI Solutions, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, our services.

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Trixly AI Solutions, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services, including but not limited to your violation of any third-party rights or applicable laws.

11. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use our services will immediately cease
• You must cease all use of our services and any materials or content provided by us
• All outstanding fees and charges will become immediately due and payable
• We may delete or suspend your account and any associated data

Provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Trixly AI Solutions operates, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our services shall be resolved through:

• Good Faith Negotiation: The parties agree to first attempt to resolve any dispute through good faith negotiation for a period of at least thirty (30) days.
• Mediation: If negotiation fails, disputes shall be submitted to mediation by a mutually agreed mediator.
• Arbitration: If mediation fails, disputes shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration organization.

You waive any right to a jury trial and agree that disputes will be resolved on an individual basis and not as part of a class action.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using our services.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be replaced with a valid, enforceable provision that most closely matches the intent of the original provision.

15. Entire Agreement

These Terms, together with any service agreements, statements of work, or other written agreements between you and Trixly AI Solutions, constitute the entire agreement between you and us regarding the use of our services and supersede all prior and contemporaneous written or oral agreements between you and us.
